Cloud Computing Services Exhibit
This Cloud Computing Services Exhibit ("Exhibit") supplements the Master Services Agreement ("MSA") between Tarionix LLC ("Tarionix") and Customer. Unless otherwise defined herein, capitalized terms have the meanings set forth in the MSA.
1. Scope
These terms apply to Tarionix cloud-based services, including hosted infrastructure, virtual servers, virtual desktops, disaster recovery, backup services, Microsoft cloud services, managed cloud, storage, networking, security, AI platform services, and related offerings.
2. Software Licensing and Compliance
Customer is responsible for obtaining and maintaining all software licenses required for software it provides for use within the Tarionix environment, including any Bring Your Own License (BYOL) deployments. Customer shall ensure compliance with applicable vendor licensing terms, cooperate with reasonable license verification requests, and comply with Microsoft License Mobility and Software Assurance requirements where applicable. Customer shall not reverse engineer, misuse, or use software in violation of applicable law or license agreements.
3. Backup Services
Where backup services are purchased, Customer acknowledges that fair and reasonable usage applies. Tarionix may recommend or require service modifications where Customer's consumption materially exceeds the expected usage profile for the subscribed service. Third-party licensing or platform cost increases may be reflected in service pricing as permitted under the MSA.
4. Audit and Verification
Customer shall reasonably cooperate with licensing and compliance verification activities relating to software deployed within the hosted environment. Failure to maintain required licenses may require suspension of affected software or services until compliance is restored.
5. Data Security
Tarionix will maintain commercially reasonable administrative, technical, and physical safeguards designed to protect Customer data within the hosted environment. Customer remains responsible for securing its own endpoints, identities, applications, credentials, and internal networks unless expressly included within the subscribed managed services.
6. Customer Data
Customer retains ownership of its data. Subject to the MSA and applicable law, Tarionix will use Customer data only to provide the contracted services. Upon termination and written request, Tarionix will make Customer data available for retrieval in accordance with the MSA and applicable retention policies.
7. Intellectual Property
Tarionix retains ownership of its cloud platform, methodologies, automation, documentation, software, and intellectual property. Customer retains ownership of its applications, data, content, and intellectual property. No ownership rights transfer except as expressly stated in a written agreement.
8. Third-Party Software
Customer's use of third-party software remains subject to the applicable vendor license terms. Tarionix may suspend or restrict software that is determined to be unlicensed or used in violation of applicable licensing requirements.
9. Microsoft Services
Customer is responsible for ensuring compliance with Microsoft's licensing requirements for software deployed within the Tarionix cloud environment, including any documentation reasonably required to validate license mobility or similar licensing rights.
10. Order of Precedence
In the event of a conflict between this Exhibit and the MSA regarding cloud computing services, this Exhibit shall govern solely with respect to the cloud services addressed herein.
